These Terms explain how you may use our website and how to read the information on it. Our products and services themselves are always governed by a separate written agreement, tailored to the organisation we work with.
1.Agreement to these terms
These Terms of Use (“Terms”) govern your access to and use of the website of Sentient Innovation Lab (“Sentient”, “we”, “us”), 18 Godab, Life Camp, Abuja, Nigeria, together with its content and any demonstration or evaluation access we provide through it (together, the “Website”).
By using the Website you agree to these Terms and acknowledge our Privacy Policy. If you use the Website on behalf of an organisation, you confirm that you are authorised to accept these Terms on its behalf. If you do not agree, please do not use the Website.
2.Definitions
- “Products”our software, models, platforms and systems, including the Compliance Intelligence Model (CIM), the Compliance Intelligence Platform (CIP) and the Intelligent Case Tracker, and any future offerings.
- “Services”design, development, deployment, licensing, hosting, maintenance, support, consulting and related professional services.
- “Customer Agreement”any written agreement between Sentient and a client, partner or licensee for Products or Services, including order forms, licences, statements of work and data processing terms.
- “Illustrative Design”any interface, visual or animation on the Website marked as illustrative, or which represents a Product without showing a live system.
3.Relationship to customer agreements
These Terms govern the Website only. Access to and use of Products and Services — whether licensed, hosted as a service, or built and deployed within a client's own infrastructure — are governed exclusively by the applicable Customer Agreement.
If there is any conflict between these Terms and a Customer Agreement, the Customer Agreement prevails. Nothing on the Website amends a Customer Agreement or creates any obligation to supply Products or Services.
4.Information, product descriptions and forward-looking statements
We describe our Products and Services in good faith and as accurately as we can. Descriptions are general, may be simplified and may change as our technology develops. Features, specifications, availability, deployment options and pricing are confirmed only in a Customer Agreement.
Illustrative Designs are created to explain how a Product works. They are not screenshots of live systems, do not show real data and do not represent the results of any assessment of any organisation.
Statements about models or products in development, testing or “in the lab”, and about our plans and vision, are forward-looking. They are not offers or commitments, and actual outcomes may differ.
5.Artificial intelligence and compliance outputs
Our Products are designed to support human judgement. Accordingly:
- outputs of our intelligent systems — including compliance statuses, scores, grades, alerts, proposed tasks and analyses — are decision-support information, produced against criteria defined by the user or client;
- outputs are not legal, regulatory or professional advice, do not guarantee compliance, do not eliminate legal or regulatory risk, and do not constitute final legal determinations;
- users remain responsible for reviewing outputs, for the decisions they make, and for obtaining professional advice appropriate to their circumstances.
6.Demonstrations and evaluation access
Where we provide a demonstration, sandbox or evaluation environment, it is for evaluation only. It may contain sample data, may be reset or withdrawn at any time, and must not be used for production purposes or to store real personal, confidential or privileged information unless a Customer Agreement expressly permits it.
7.Acceptable use
You must not, and must not permit others to:
- use the Website in breach of any applicable law or regulation, or for any fraudulent or harmful purpose;
- attempt to gain unauthorised access to the Website, its servers or any connected system, or interfere with its integrity, security or availability;
- carry out vulnerability scanning, penetration testing or other security testing without our prior written authorisation;
- introduce malicious code, or overload the Website by automated means;
- scrape, harvest or extract content in bulk, including for the purpose of training machine-learning models, without our written permission;
- reverse engineer, copy or create derivative works from any software, design or animation made available through the Website, except as the law expressly permits;
- misrepresent your identity or affiliation, or suggest an endorsement or relationship with Sentient that does not exist.
8.Security and responsible disclosure
If you believe you have found a security vulnerability in the Website or any of our Products, please report it promptly and confidentially to info@sentient-labs.com, without accessing data that is not yours, disrupting services or disclosing the issue publicly before we have had a reasonable opportunity to address it. We appreciate responsible reports and will acknowledge them.
9.Intellectual property
The Website and its content — including text, graphics, designs, Illustrative Designs, animations, films, code, and the names and marks Sentient Innovation Lab, CIM, CIP and Intelligent Case Tracker — are owned by or licensed to Sentient and are protected by intellectual property laws.
You may view and print pages for your internal, non-commercial reference. Any other use, including reproduction, distribution, modification or public display, requires our prior written permission. Our Products are licensed, not sold, on the terms of the applicable Customer Agreement.
10.Submissions and confidential information
Please do not send confidential, privileged or sensitive information through the Website until an appropriate agreement is in place. Unsolicited ideas or proposals are received without any obligation of confidentiality or compensation, unless we agree otherwise in writing. Personal data you provide is handled under our Privacy Policy.
11.Third-party websites and services
The Website may link to third-party websites and platforms, including social media. We do not control them and are not responsible for their content, availability, security or practices.
12.Availability and changes to the Website
We aim to keep the Website available, accurate and secure, but do not guarantee that it will be uninterrupted or error-free. We may modify, suspend or discontinue any part of the Website at any time.
13.Disclaimer
To the fullest extent permitted by law, the Website is provided “as is” and “as available”, and we exclude all warranties, conditions and representations, express or implied, regarding the Website and its content.
14.Limitation of liability
To the fullest extent permitted by law, Sentient shall not be liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, revenue, business, data or goodwill, arising out of or in connection with the Website or reliance on its content.
Liability in connection with Products and Services is governed solely by the applicable Customer Agreement. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.
15.Indemnity
To the extent permitted by law, you agree to indemnify Sentient against claims, losses, liabilities and reasonable costs arising from your breach of these Terms or your unlawful use of the Website.
16.Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. The parties will first seek to resolve any dispute in good faith through negotiation. Failing resolution, the courts of the Federal Capital Territory, Abuja shall have jurisdiction, without prejudice to any mandatory rights you may have.
17.General
If any provision of these Terms is found unenforceable, the remaining provisions continue in effect. Our failure to enforce a provision is not a waiver. We may assign our rights under these Terms. These Terms, together with our Privacy Policy, form the entire agreement between you and us concerning the Website. We may update these Terms by publishing a revised version; the effective date above shows when they last changed.
